I. Introduction

These Terms and Conditions ("Terms") set out the rules for your access to and use of the M&S Labs platform, which is operated by Antler Technologies Inc ("Company," "we," "us," or "our"). When you access or use our website, mobile applications, or any services offered through our platform (together, the "Services"), you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not access or use our Services.

II. Changes to these terms

At any time and at our sole discretion, Antler Technologies Inc reserves the right to modify, amend, or update these Terms. Changes take effect immediately once they are posted on our platform. If you keep using the Services after any change, you accept the Terms as modified. We encourage you to review these Terms from time to time.

III. What the services are

M&S Labs is a technology platform that helps you access telehealth services, including but not limited to collecting health information, scheduling appointments, coordinating prescriptions, and communicating with licensed healthcare providers. M&S Labs does not itself provide medical services, diagnoses, or treatments. Every medical service is provided by independent, licensed healthcare professionals affiliated with Antler Technologies Inc.

IV. Who may use the services

To use our Services, you must: (a) be 18 years of age or older; (b) live in a jurisdiction where our Services are offered; (c) have access to compatible technology, including internet access and a device that can support our platform; and (d) give accurate and complete information when you register.

V. Where the services are available

Our Services are currently offered only in select regions, and availability may change without notice. To confirm whether the Services are offered in your area, please contact our customer service team at support@mandslabs.com.

VI. Your account and its security

You are responsible for keeping your account credentials confidential and for all activity that takes place under your account. You agree to: (a) give accurate, current, and complete information; (b) keep your account information up to date and update it promptly; (c) tell us immediately about any unauthorized use of your account or any other breach of security; and (d) take responsibility for all activity carried out through your account.

VII. What you are responsible for and acknowledge

By using our Services, you acknowledge that: (a) the platform does not replace in-person emergency medical care; (b) you will give truthful and complete health information; (c) you will follow your provider’s instructions and report any adverse reactions; (d) some medications may be compounded and are prescribed at your provider’s discretion; and (e) individual results may vary.

VIII. Payment and billing

When you subscribe to our Services, you authorize Antler Technologies Inc to charge your payment method on file for recurring subscription fees. All fees are described on our platform and may be changed with reasonable notice. You are responsible for every charge incurred under your account.

IX. Intellectual property

All content, trademarks, logos, and intellectual property on the M&S Labs platform are owned by Antler Technologies Inc or licensed to it. Without prior written consent, you may not reproduce, distribute, or modify that material or create derivative works from it.

X. Limits on our liability

To the fullest extent that applicable law permits, Antler Technologies Inc will not be liable for any indirect, incidental, special, consequential, or punitive damages that arise out of or relate to your use of, or inability to use, our Services. Our total liability will not be more than the amount you paid us in the twelve (12) months before the claim.

XI. Resolving disputes and arbitration

Any dispute, claim, or controversy that arises out of or relates to these Terms, or to a breach of them, will be resolved by binding arbitration under applicable arbitration rules. You agree to waive any right to a jury trial and any right to participate in a class action. XII. Governing law

The laws of the State of Wyoming govern these Terms and will be used to interpret them, without regard to conflict of law principles.
